    Terms & Conditions

    1 TERMS

    1.1 These Terms and Conditions (“Terms”) apply to you during and in relation to your sponsorship and attendance at the 2025 Bell Canada Network and Technology Services Leadership Conference (NTS LC 2025).

    You must:

    1.2.1 Be over the age of 18 to attend

    1.2.2 Comply with all health, safety and security advice provided to you by Bell Canada and/or the venue owner, while at the NTS LC 2025, including but not limited to any guidance or procedures that you are asked to comply with relating to public risks, health and safety and COVID-19 procedures, as set out in 3.3 below.

    1.2.3 Comply with any terms and conditions provided to you by the Sheraton Centre Toronto Hotel.

    1.2.4 Comply with any reasonable instructions Bell Canada provides to you during NTS LC 2025.

    1.2.5 Comply with all Applicable Laws

    1.3 You must comply with the specific COVID-19 terms and conditions

    1.3.1 You must comply with entry requirements set out by the Canadian Federal Government and the Province of Nova Scotia, and any specific requirements set by Bell Canada.

    1.3.2 You must certify at you are not sick and that you do not have any signs or symptoms of COVID-19. You will not enter NTS LC 2025 at the Sheraton Centre Toronto Hotel if you are experiencing any signs or symptoms of COVID-19.

    You acknowledge that common symptoms of COVID-19 include (with expected updates):

    • fever or chills
    • cough
    • shortness of breath or difficulty breathing
    • new loss of taste or smell
    • sore throat
    • congestion or runny nose
    • nausea or vomiting
    • diarrhea

    1.3.3 You will immediately isolate yourself, leave NTS LC 2025, and notify NTS LC 2025 staff if you or someone you have been in close contact with, is exposed to COVID-19, exhibits COVID-19 symptoms or receives a positive COVID-19 test result.

    1.3.4 You expressly agree to comply fully with appropriate COVID-19 health and safety measures and protocols for attendance at NTS LC 2025. If needed; NTS LC 2025 will have limited facemasks available for those attendees who do not bring their own masks to the event. NTS LC 2025 reserves the right to remove any sponsor or attendee for failure to adhere to the required COVID-19 health and safety measures and protocols.

    1.3.5 While in attendance at NTS LC 2025, you will make every effort to maintain these hygiene procedures at all times: frequent hand washing (or a suitable sanitizing alternative), avoiding touching your eyes, nose and mouth in public places, and covering coughs or sneezes with a tissue or the inside of your elbow.

    1.4 While at NTS LC 2025 you must not:

    1.4.1 be intoxicated or under the influence of drugs;

    1.4.2 smoke in any areas other than designated smoking areas;

    1.4.3 take part in any canvassing, leafleting, demonstrations or fundraising which have not been pre-agreed with NTS LC 2025;

    1.4.4 be rude, threating, aggressive, harassing or violent towards any person;

    1.4.5 cause injury or damage to any other person or property;

    1.4.8 undertake unauthorised use of photography, filming or recording; or

    1.4.9 breach the intellectual property rights of Bell Canada / NTS LC 2025, an Sponsor, Attendee, Participant or an Exhibitor.

    1.5 NTS LC 2025 strives for its Events to be a positive experience from beginning to end for everyone. NTS LC 2025 celebrate the diversity of all Attendees, Participants, Exhibitors, NTS LC 2025 staff or Venue Owner staff, and will not tolerate Discriminatory Behaviour by or towards anyone taking part or attending. During your attendance at an NTS LC 2025 you agree to respect and be kind to everyone regardless of their gender, race, religion, age, sexual orientation, disability or any other aspect of appearance or background.

    2 WARRANTIES

    2.1 Bell Canada makes no guarantee as to the suitability or appropriateness of the NTS LC 2025 for you.

    2.2 All content and information at the NTS LC 2025 is provided on an “as is” basis and Bell Canada makes no guarantee as to the accuracy of any content and information provided to you at the NTS LC 2025, whether from Bell Canada, a Participant or otherwise.

    3 LIABILITY

    3.1 Nothing in these Terms limits any liability which cannot legally be limited, including, where so limited, liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

    3.2 Subject to clause 3.1 above, Bell Canada shall not, in relation to any loss you suffer while in attendance or arising out of your attendance at the NTS LC 2025, be liable for any:

    3.2.1 Loss of profit, goodwill, business, loss of agreements or corruption to data;

    3.2.2 Any consequential, indirect or special losses however arising;

    3.2.3 Any remote losses that could not reasonably have been foreseen by the parties;

    3.2.4 Any proportion of any loss that was caused or contributed to by any person other than NTS LC 2025 (Bell Canada);

    3.2.5 Any proportion of any loss that could reasonably have been mitigated but was not mitigated; or

    3.2.6 Any combination of the above.

    3.3 Subject to clause 3.1 and 3.2 above; Bell Canada’s total liability to you under these Terms and in relation to the NTS LC 2025

    3.4 Subject to clause 3.3 Bell Canada does not accept responsibility for any loss you suffer as a result of any loss, damage or theft of personal property while attending the NTS LC 2025 and any personal property you bring to is at your own risk.

    3.5 Subject to clause 3.1 above, Bell Canada assumes no liability in relation to any loss you incur at the NTS LC 2025 which arises as a result of the Venue and would be the liability of the Venue Owner.

    3.6 Notwithstanding all precautions taken by Bell Canada, Venue Owners or any other third parties at an In-Person Event, Bell Canada shall not be liable in any way for, and Participants, Exhibitors and Attendees by participating in the NTS LC 2025; waive any claims with respect to, any issues relating to public health matters generally, and specifically COVID-19, if any Participants, Exhibitors or Attendees contract COVID-19 at the Venue whilst attending an In-Person Event.

    Attendance at NTS LC 2025 is entirely at your own risk

    3.6.1 Make your own assessment as to whether you are comfortable to attend and travel to and from the NTS LC 2025 In-Person Event;

    3.6.2 Take all precautions as recommended by general health and safety authorities (including, but not limited, travel quarantine or other restrictions or recommendations that may be in place relating to anyone travelling to another country or place where the NTS LC 2025 is located);

    3.6.3 Comply with any specific precautions or guidelines notified to you by a Venue Owner and/or NTS LC 2025 as may be relevant for that specific event.

    3.7 Bell Canada is not responsible for the acts or omission of any Attendees, Participants or Exhibitors at the NTS LC 2025 and any contracts or agreement entered into by you and a Participant, Exhibitor or Attendee during or as a result of the NTS LC 2025 is entirely at your discretion and Bell Canada shall have no liability in relation thereto.

    3.8 Any opinions or views of any speaker, Exhibitor, Participant or Attendee, may not necessarily be the opinion or view of Bell Canada and Bell Canada does not (unless it expressly states so otherwise) endorse any statement, view or opinion of any speaker, Exhibitor, Participant or Attendee.

    4 SPONSORSHIP PAYMENT

    4.1 Sponsorships are to be paid in full prior to attending NTS LC 2025. It is the sponsor/exhibitors responsibility to inform Bell Canada if they require a PO (Purchase order) a minimum of 30 days prior to invoice being issued as well as any government taxation or company supplier registration forms. Invoices distributed depending on the internal billing dates set by Bell Canada – and are due 30 days from issue date.

    5 CANCELLATION, POSTPONEMENT OR RELOCATION OF NTS LC 2025

    5.1 Bell Canada reserves the right to cancel, postpone or relocate NTS LC 2025 for any reason at Bell Canada’s sole discretion (including, without limitation, by reason of the events listed below (each being a ‘Force Majeure Event’):

    Bell Canada determines, in its sole discretion that:

    5.2 the venue at which the NTS LC 2025 is to be held is unfit for occupancy or otherwise holding the Conference;

    5.3 NTS LC 2025 will be materially impacted by reason of the elements (including adverse weather events or natural disasters), industrial action or labour disturbance or restraint, boycott, embargo, injunction, an act of war (whether declared or not) or terrorism, mobilisation of armed forces, civil commotion or riot, emergency declared by a Government agency, action or in action by a Government agency, a failure of a supplier, public utility or common carrier or computer disruption due to the effects of a virus or other malicious code introduced other than through the acts of Bell Canada, an epidemic or pandemic (whether or not declared as such by the World Health Organisation or Health Canada) or any communicable disease outbreak or public health emergency (including COVID-19 or any related or derivative strains);

    5.4 any other act, occurrence or non-occurrence has occurred beyond the control of Bell Canada that results in the NTS LC 2025 being materially impacted.

    5.4.1 Where clause (5.3) applies, Bell Canada may elect, in its absolute discretion, to cancel, postpone or relocate NTS LC 2025 or terminate the sponsor or exhibitor’s booking and

    5.4.2 Bell Canada must notify the sponsor/exhibitor of the cancellation, postponement, relocation or termination as soon as possible;

    5.4.3 Where Bell Canada has elected to postpone or relocate the NTS LC 2025, any obligation of Bell Canada to the sponsor/ exhibitor under the Contract will be suspended for the duration of the Force Majeure Event;

    5.4.4 Where Bell Canada elects to cancel the NTS LC 2025 and/or terminate the sponsor’s/exhibitor’s booking, this Contract automatically terminates and the provisions apply. Bell Canada will not be in breach of this Contract by virtue of the cancellation, postponement, relocation or termination of the sponsor’s/exhibitor’s booking; and Bell Canada and each of its officers, employees, agents and contractors will not be liable for any loss, liability, demand, action, claim, judgement, damage, cost, charge or expense (including any legal cost or expense on a full indemnity basis), professional costs and expenses or obligation however it arises and whether based in contract, tort, statute or otherwise, that may be sustained by the sponsor/exhibitor as a result of such termination of the sponsor’s/r exhibitor’s booking or cancellation, relocation or postponement of the NTS LC 2025.

    5.4.5 In the event of such termination, cancellation, relocation or postponement, the sponsor/exhibitor expressly waives any liability of Bell Canada and releases Bell Canada from all claims for damages such that Bell Canada will have no further liability to the sponsor/exhibitor, except to refund to the sponsor/exhibitor sponsorship fee, as set out in their agreement.

    6 CANCELLATION POLICY

    6.1 In the event that the NTS LC 2025 is cancelled; by Bell Canada or that the sponsor/exhibitor wishes to cancel (or reduce) their participation in the event, the following cancellation and refund policies apply:

    Cancelled by sponsor

    90 days from event (November 27, 2024) – NO cancellation fee

    60 days from event (December 27, 2024) – 25% of sponsorship agreement

    45 days from event (January 11, 2025) 50% of sponsorship agreement

    30 days from event (January 26, 2025) 100% of sponsorship agreement

    All cancellations or requests to do any changes must be made in writing to James Koka or Connie Pannunzio. Refunds will be paid within 30 days after February 27, 2025.

    7 INSURANCE

    7.1 Sponsor/exhibitor is responsible for the placement and cost of insurance relating to its participation in the Show. The sponsor/exhibitor shall obtain and maintain at its own expense during the period commencing on the first move - in date and terminating on the last move - out date, a policy of insurance acceptable to Bell Canada.

    The policy of insurance shall name BCE and its affiliates as additional insured and insure the Sponsor/exhibitor against all claims of any kind arising from or in any way connected with the Exhibitor's presence or operations at the Show. The Exhibitor shall carry liability insurance of $2 million. The Exhibitor agrees to furnish immediately to Bell Canada upon execution of the sponsorship agreement, certificates of insurance pertaining to all policies of insurance carried by the sponsor/exhibitor together with satisfactory evidence from the insurer of the continuation of such policies.

    8 DATA PROTECTION

    8.1 NTS LC 2025 processes your personal data in accordance with the Bell Canada privacy policy

    9 PHOTOGRAPHS AND IMAGE USE

    9.1 Bell Canada (NTS LC 2025) may take photographs, audio, recordings and video footage (“Material”) at 2025 NTS LC and use them to promote future events, in direct mail and email marketing, newsletters, educational materials, social media, press releases and broadcasts over the internet, through our broadcast partners, or via other broadcast services (“Permitted Use”).|

    9.2 For Material where inclusion of your image or personal data is incidental and you cannot be identified Bell Canada do not consider it to be feasible or necessary to obtain your express permission.

    9.3 Where NTS LC 2025 ask you to be photographed, interviewed or filmed and you agree to do so, your acceptance to be photographed, interviewed or filmed will be deemed consent for our use of the Material for the Permitted Use.

    9.4 By attending NTS LC 2025, you hereby agree to Bell Canada collecting and using your name, photograph and biography in connection with the Permitted Use. You can request to have your image removed if you wish.

    9.5 You agree that Bell Canada is the owner of all Material and that in relation to your image, you hereby waive any rights attached to the use of such image by NTS LC 2025 including the waiver of any moral rights or image rights, and agree that Bell Canada shall be entitled to edit, crop, splice, treat and edit (at NTS LC 2025 discretion) without the need to inspect or review the Material.

    9.6 In certain circumstances Participants, Exhibitors and other Attendees may take photographs or conduct filming. In such circumstances Bell Canada does not have control over what images they collect and their use of such and if you have any questions in relation to this you should discuss this with the relevant third party.

    10 INTELLECTUAL PROPERTY RIGHTS

    10.1 Bell Canada is the owner or the licensee of all intellectual property rights in the content it provides or displays at NTS LC 2025. The Participants and/or Exhibitors are the owners or licensee of all intellectual property rights in the content they provide or display at an NTS LC 2025. Such works are protected by copyright laws and treaties around the world and all such rights are reserved.

    10.2 You acknowledge the intellectual property ownership rights set out in clause 8.1 above and agree that unless Bell Canada or the applicable Participant or Exhibitor expressly grant you permission to use such intellectual property rights you shall not to infringe such intellectual property rights.

    10.3 You hereby confirm you are the owner of licensee of all intellectual property rights in any content you provide or display at NTS LC 2025.

    10.4 You agree to indemnify Bell Canada against all loss it may suffer as a result of your failure to comply with clauses 8.1- 8.3 above.

    13 GENERAL

    13.1 These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of the Province of Ontario, Canada.

    13.2 Each party irrevocably agrees that the courts of Ontario shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or its subject matter or formation.

    13.3 If any provision or part-provision of these Terms are or become invalid, illegal or unenforceable, they shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of Terms.

    13.4 A waiver of any right or remedy under these Terms or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy and a failure or delay by a party to exercise any right or remedy provided under this agreement or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy.

    14 UPDATES

    14.1 Bell Canada reserves the right to update these Terms from time to time at its discretion. These Terms were last updated on May 4, 2024.
